Terms of Service

Welcome to Tigbit. These Terms of Service ("Terms") are a legally binding agreement between you and Tigbit Labs LLC ("Tigbit," "we," "us," or "our") governing your access to and use of the Tigbit website, mobile applications, characters, chat features, media, content, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that:

  • you are at least 18 years old;
  • you have the legal capacity to enter into these Terms; and
  • you will comply with these Terms and all applicable laws.

The Services are not intended for minors. We do not permit use by anyone under 18.

2. Nature of the Services

Tigbit provides AI-generated and user-generated character chat and related interactive features for entertainment, creative, and expressive purposes.

You understand and agree that:

  • characters, chat responses, images, voice, and other outputs may be generated by artificial intelligence systems;
  • AI outputs may be fictional, simulated, inaccurate, incomplete, offensive, biased, misleading, or inappropriate;
  • AI outputs do not reflect real facts, real persons' actual views, or real events unless independently verified;
  • the Services are not a provider of medical, mental health, therapy, crisis, legal, financial, tax, or other professional advice; and
  • you are solely responsible for evaluating and deciding whether to rely on any output.

You must not rely on the Services for emergency assistance, crisis intervention, or any health, safety, legal, financial, or other high-stakes decision.

3. Changes to the Services and Terms

We may modify, suspend, discontinue, or change any part of the Services at any time, with or without notice.

We may also update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.

4. Accounts and Security

You may need to create an account to access certain features.

You agree to:

  • provide accurate, current, and complete information;
  • keep your login credentials confidential;
  • promptly update your information if it changes; and
  • notify us immediately of any unauthorized access to or use of your account.

You are responsible for all activity that occurs under your account.

We may suspend, restrict, or terminate accounts that are inactive for extended periods, violate these Terms, create risk, or otherwise harm the Services or other users.

5. Subscriptions, Paid Features, and Billing

Certain features may require payment, subscription, credits, tokens, or other paid access.

By purchasing a paid feature or subscription, you agree that:

  • you will pay all applicable charges, taxes, and fees;
  • recurring subscriptions will renew automatically until canceled;
  • you are responsible for managing or canceling subscriptions through the platform or app store through which you purchased them;
  • payments are non-refundable except where required by applicable law; and
  • we may change pricing, features, or subscription offerings at any time, with notice where required by law.

If payment cannot be processed, we may suspend, downgrade, or terminate access to paid features.

6. User Content

6.1 Your Content

"User Content" means any content you create, upload, submit, post, publish, share, transmit, or otherwise make available through the Services, including text, prompts, profiles, images, audio, video, character definitions, metadata, comments, descriptions, and other materials.

You retain whatever ownership rights you have in your User Content.

6.2 License You Grant to Tigbit

By submitting or making User Content available through the Services, you grant Tigbit and its affiliates, service providers, successors, and assigns a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to host, store, reproduce, copy, display, perform, distribute, publish, transmit, make available, modify, adapt, format, translate, create derivative works from, analyze, use, and otherwise exploit your User Content for any purpose related to operating, improving, promoting, securing, moderating, developing, and providing the Services, in any media or technology now known or later developed.

This license includes the right to:

  • display your public characters and related content to other users;
  • index, rank, recommend, and promote your public characters and content;
  • use your content for trust and safety, abuse prevention, legal compliance, analytics, support, quality assurance, and service improvement;
  • preserve and disclose your content where required by law or reasonably necessary to enforce these Terms, protect rights, investigate abuse, or comply with legal process; and
  • allow other users to interact with public characters and receive generated outputs related to those characters.

6.3 Public Characters and Public Content

If you publish a character or other content publicly through the Services, you understand and agree that it may be displayed, recommended, interacted with, copied internally for service operation, and remain available on the platform.

If you delete your account, public characters and related public content may remain on the Services and may continue to be displayed, hosted, and made available to users, including under an anonymized or "Deleted User" attribution, to preserve platform continuity, user experience, existing interactions, moderation records, and service integrity.

Private content that is not designated public may be removed or deleted in accordance with our systems, retention practices, legal obligations, and Privacy Policy.

6.4 Your Responsibility for User Content

You are solely responsible for your User Content and for the consequences of posting, publishing, or sharing it.

You represent and warrant that:

  • you own or have all rights necessary to submit the User Content and grant the licenses in these Terms;
  • your User Content and your use of the Services do not violate any law, contract, intellectual property right, privacy right, publicity right, or other rights of any person or entity; and
  • your User Content complies with these Terms.

7. AI Characters and Generated Content

The Services may allow you to create AI characters and receive AI-generated responses, media, or other outputs ("Generated Content").

As between you and Tigbit, and to the extent permitted by law, you retain whatever rights you may have in the specific characters you create and the Generated Content you receive. However:

  • similar or identical outputs may be generated for other users;
  • Generated Content is not exclusive to you;
  • we do not guarantee originality, non-infringement, factual accuracy, or suitability of any Generated Content; and
  • you grant Tigbit the same broad license described above to any Generated Content or character configuration you create, publish, or make available through the Services.

8. Acceptable Use and Prohibited Content

You may not use the Services to create, upload, publish, request, share, promote, or facilitate content or conduct that:

  1. violates any law or regulation;
  2. infringes or misappropriates any intellectual property, privacy, publicity, or other rights;
  3. is fraudulent, deceptive, misleading, defamatory, or impersonates another person or entity without authorization;
  4. contains malware, harmful code, or attempts to disrupt, damage, overload, probe, or gain unauthorized access to systems, networks, or data;
  5. exploits, sexualizes, harms, grooms, or endangers minors in any way;
  6. depicts or promotes child sexual abuse material or any sexual content involving minors;
  7. promotes, instructs, or facilitates terrorism, violent extremism, human trafficking, exploitation, or organized criminal activity;
  8. promotes, instructs, or facilitates self-harm, suicide, eating disorders, or harm to others;
  9. contains obscene pornography, non-consensual intimate content, or sexual exploitation;
  10. promotes hate, harassment, abuse, bullying, threats, or discrimination based on protected traits or otherwise;
  11. promotes illegal drugs, illegal weapons, or unlawful activity;
  12. provides or solicits professional medical, legal, tax, or financial advice in a way that could reasonably be relied upon;
  13. is spam, unsolicited advertising, scams, fake engagement, or manipulative behavior;
  14. attempts to harvest data, scrape content, spider the Services, or collect other users' information without authorization;
  15. reverse engineers, decompiles, disassembles, or attempts to derive source code or underlying models, systems, or safeguards, except to the extent expressly permitted by applicable law;
  16. circumvents rate limits, safety systems, access controls, payment controls, or moderation measures;
  17. uses bots, automation, or scripts to access the Services in an unauthorized way; or
  18. is otherwise objectionable, harmful, or likely to expose Tigbit, users, or third parties to risk, liability, or harm.

We may publish additional community rules, safety rules, or feature-specific policies. Those rules are incorporated into these Terms by reference.

9. Moderation, Enforcement, and Platform Control

We reserve the right, in our sole discretion and with or without notice, to:

  • review, investigate, and monitor accounts, content, and activity;
  • remove content;
  • restrict visibility or distribution of content;
  • age-gate or geo-restrict content;
  • disable access to characters, features, or accounts;
  • suspend or terminate accounts;
  • preserve evidence and records;
  • report content or users to law enforcement or regulatory authorities where appropriate; and
  • take any other action we believe is necessary to protect the Services, users, third parties, or Tigbit.

We have no obligation to publish, preserve, maintain, or continue hosting any content, character, feature, or account.

10. Crisis, Safety, and Sensitive Use Disclaimer

The Services are not designed to provide therapy, counseling, crisis support, or emergency response.

If we detect or suspect behavior involving self-harm, suicide risk, violent threats, exploitation, or other serious safety concerns, we may take protective action, including refusing or interrupting interactions, displaying warnings or safety resources, restricting features, reviewing content, or suspending or terminating accounts.

We do not undertake any duty to monitor for or prevent harmful behavior, and we do not guarantee any intervention.

If you are in crisis or believe there is an emergency, contact emergency services or a qualified crisis resource immediately.

11. Third-Party Services and Providers

The Services may rely on third-party providers, including payment processors, app stores, hosting providers, analytics vendors, identity providers, and AI model or infrastructure providers.

We are not responsible for third-party products, services, availability, outages, policies, or acts or omissions. Your use of third-party services may be subject to separate terms and policies.

12. Intellectual Property; Tigbit Property

The Services, including software, interfaces, branding, trademarks, logos, design, compilations, and all content and materials provided by Tigbit, are owned by or licensed to Tigbit and are protected by intellectual property and other laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, license, or exploit any part of the Services.

All rights not expressly granted are reserved.

13. Copyright Complaints

If you believe content on the Services infringes your copyright, you may send a DMCA-compliant notice to dmca@tigbit.ai.

To be effective, your notice must be sent by the copyright owner or a person authorized to act on the owner's behalf, and must include:

  • your full legal name and contact information;
  • identification of the copyrighted work claimed to have been infringed;
  • identification of the allegedly infringing material and information reasonably sufficient to allow us to locate it on the Services;
  • a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
  • a statement under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf;
  • your physical or electronic signature.

We may reject, disregard, or request supplementation for notices that are incomplete, inaccurate, unsupported, abusive, or not submitted by a rights holder or an authorized representative. We may also request additional information reasonably necessary to verify ownership, authorization, identity, or the basis of the claim before acting on a notice.

If you believe your content was removed by mistake or misidentification, you may send a counter-notice to dmca@tigbit.ai containing the information required by applicable law.

We may remove or disable access to allegedly infringing content and may terminate repeat infringers.

14. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

15. Termination and Account Deletion

You may stop using the Services at any time and may request deletion of your account using available account settings or the instructions on our Account Deletion page.

We may suspend, restrict, or terminate your access to the Services or any part of them at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms, created risk, or acted inconsistently with the spirit of the Services.

Upon termination or deletion:

  • your right to use the Services ends immediately;
  • we may delete or disable access to your account, content, and data, subject to our retention practices, technical limitations, legal obligations, and Privacy Policy;
  • public characters and related public content may remain available as described above; and
  • provisions that by their nature should survive will survive, including licenses, disclaimers, limitations of liability, indemnity, arbitration, and ownership provisions.

16. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TIGBIT DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, TIGBIT DOES NOT WARRANT THAT:

  • ANY CONTENT OR GENERATED CONTENT IS ACCURATE, COMPLETE, SAFE, OR SUITABLE;
  • THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
  • DEFECTS WILL BE CORRECTED; OR
  • ANY CONTENT WILL BE PRESERVED OR NOT LOST.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TIGBIT, ITS AFFILIATES, OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, CONTENT, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES, THESE TERMS, USER CONTENT, CHARACTERS, GENERATED CONTENT, THIRD-PARTY SERVICES, OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, TIGBIT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  • ONE HUNDRED U.S. DOLLARS (US $100); OR
  • THE AMOUNT YOU PAID TO TIGBIT, IF ANY, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

18. Release

To the fullest extent permitted by law, you release Tigbit and its affiliates, owners, members, managers, officers, directors, employees, contractors, and agents from claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and any other user, creator, rights holder, or third party.

If you are a California resident, you waive California Civil Code Section 1542 and any similar law, to the fullest extent permitted by law.

19. Indemnification

You agree to defend, indemnify, and hold harmless Tigbit and its affiliates, owners, members, managers, officers, directors, employees, contractors, agents, licensors, successors, and assigns from and against any and all claims, demands, actions, investigations, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your use of the Services;
  • your User Content, characters, prompts, or Generated Content;
  • your violation of these Terms or any applicable law;
  • your infringement or violation of any third-party rights; or
  • any dispute between you and another user or third party.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claim.

20. Dispute Resolution; Arbitration; Class Action Waiver

20.1 Informal Resolution

Before starting arbitration or filing a claim, you agree to first contact us and attempt to resolve the dispute informally by sending written notice by email to legal@tigbit.ai describing the nature of the dispute and the relief sought. Both parties agree to attempt good-faith resolution for sixty (60) days.

20.2 Binding Arbitration

Except for matters that may be brought in small claims court or claims seeking injunctive relief for intellectual property or unauthorized access, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by JAMS under its applicable rules.

Unless otherwise required by law, the arbitration shall take place in Santa Clara County, California, or remotely if appropriate under the applicable rules.

20.3 No Class Actions; No Jury Trial

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • YOU AND TIGBIT WAIVE ANY RIGHT TO A JURY TRIAL; AND
  • YOU AND TIGBIT AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING.

The arbitrator may award relief only on an individual basis.

20.4 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to legal@tigbit.ai within thirty (30) days after you first accept these Terms. Your notice must include your full name, account email, and a clear statement that you wish to opt out of arbitration.

If you opt out, the rest of these Terms will still apply.

20.5 Small Claims

Either party may bring an eligible individual claim in small claims court.

21. Governing Law

Except to the extent preempted by the Federal Arbitration Act or otherwise required by applicable law, these Terms are governed by the laws of the State of California, without regard to conflict of laws principles.

22. Miscellaneous

These Terms, together with any incorporated policies, constitute the entire agreement between you and Tigbit regarding the Services.

If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
